Busbot Incorporated dba Denim (“we”, “our” or “Denim”)  offers brand supporters (“Referrer”, “You” or “Your”) an opportunity to participate in Denim’s Refer-a-Friend Program (“Program”) to reward you for sharing your love for Denim services offered on our website located at http://denim.com (“Site”) to potential new Denim clients (“Referral”). We reserve the right to amend or terminate the Program at any time, for any reason. The Program is administered by Denim. 

Referrers are bound by these Terms and Conditions by participating in the Program and any related promotional events. To the extent that you access or use  http://denim.com, and any software, data, reports, text, images, sounds, video, and content made available through any of the foregoing, such access and use is governed by the Platform Terms of Service available at https://denim.com/terms-conditions (the “Platform Terms of Service”). By participating in the Program, Referrer also agrees to the Platform Terms of Service.

If you do not agree to these Terms and Conditions in their entirety, you are not authorized to participate in the Program in any manner. Referrers may not participate in the Program where doing so would be prohibited by any applicable law or regulations.

  1. Eligible Referrer. To be “Eligible”, a Referrer must be a legal resident of the United States of America and be at least 18 years old. If you are under 18 years of age, you may not use, access, or participate in the Program or use the Site at any time or in any manner. Referrer is not required to be a current or existing Denim client to participate in the Program. Referrers may not refer themselves,  create fictitious referrals, send spam or bulk referrals or any other referral submission that is not in a personal or customary manner. Referrers may refer a maximum of 24 Referrals in one calendar year. Referrer acknowledges and agrees that Denim is not bound to any price (or any other term) until it has entered into an agreement for Denim services with the Referral and the Referrer will not represent or imply anything to the contrary. Employees of Denim or any of its subsidiaries are not eligible to participate in the Program. 
  2. Qualified Referrals. A Qualified Referral means that all of the following conditions are met:
    1. The Referral comes from one of the following sources:
      1. The form available on our Site at https://info.denim.com/refer-a-friend 
      2. Broker or Fleet lists your name and contact in the “How did you hear about us” field on our Site https://info.denim.com/quote  
      3. An email from Referrer to support@denim.com that includes necessary contact information for both the Referrer and the Referral.
      4. Referral is not already a current client of Denim, or has an existing relationship with Denim prior to the date of the referral. 
    2. Referral engages or otherwise participates in the Refer a Friend Program with Denim by entering into an Account Purchase and Factoring Agreement with Denim on or before one hundred eighty (180) days after the date a Referral information is delivered to Denim.
    3. Denim will make commercially reasonable efforts to promptly notify the Referrer of a submitted Referral that does not meet the conditions of a Qualified Referral. 
  3. Referral Reward Payment. A total of two (2)  referral rewards will be paid out for each Qualified Referral. The first referral bonus of a $150.00 VISA* gift card will be paid upon Denim receiving a valid factoring application and proof of revenue from a Qualified Referral. The referral bonus will be sent to the Referrer within fourteen (14) days of completion of this condition. The second referral bonus of another $150.00 VISA* gift card will be paid upon the Referral successfully onboarding with Denim AND factoring five (5) invoices. The second referral bonus will be sent to the Referrer within fourteen (14) days of completion of this condition.
    Referral Bonus is in the form of a VISA* gift card, and is subject to the issuer's terms and conditions. Restrictions may apply. Referral bonus is not transferable and may not be auctioned, traded, bartered, or sold. Upon the termination of the Refer a Friend Program or any portion thereof for any reason, any unredeemed referral bonus that has not yet been delivered to Referrer is forfeited. 
    Denim may delay a reward for the purposes of investigation. Denim may also refuse to verify and process any transaction Denim deems, in its sole discretion, to be fraudulent, suspicious, in violation of our Terms and Conditions, or believes will impose a potential liability on Denim, its subsidiaries, affiliates, officers, directors, employees, representatives, and agents. All of Denim’s decisions are final and binding, including decisions as to whether a Qualified Referral or referral bonus is verified.
  4. Privacy. Referrers may participate in the Program made available by Denim in order to submit referrals as potential new Denim clients. In order to do this, Referrers must submit personal information about themselves and those potential clients being referred, such as first and last names, email address information, and phone numbers so that Denim may send communications to Referrals. The information will be collected, processed, and used in accordance with Denim’s Privacy Policy, which is available by link on our Site. Referrers understand that, in addition to the initial communications to Referrals, Denim may use the personal information to send Referrals additional followup communications on behalf of the Referrer in order to encourage Referral to become a Denim client.  By submitting any email address as part of the Program, the Referrer represents that he/she has the appropriate permission and consent.
  5. Portal Credentials.  It is your responsibility to keep all information and credentials, including access thereto, in connection with Denim’s internet-based online account Portal (the “Portal”) secure, and we may treat any Referral submission made using your access credentials as authorized by you, however all submissions remain subject to our internal verification procedure. Denim will not be liable for any loss or damage arising from unauthorized use of your credentials, and you agree to notify the Denim immediately if you suspect unauthorized access to the Portal.
  6. Limitation of Liability. IN NO EVENT WILL DENIM BE LIABLE FOR ANY SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND IN CONNECTION WITH THIS PROGRAM  EVEN IF DENIM HAS BEEN INFORMED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING IN THIS PROGRAM TO THE CONTRARY, DENIM’S CUMULATIVE LIABILITY, IN THE AGGREGATE FOR ALL LOSSES, CLAIMS, SUITS, CONTROVERSIES, BREACHES, OR DAMAGES FOR ANY CAUSE WHATSOEVER (INCLUDING THOSE ARISING OUT OF OR RELATED TO THIS PROGRAM) AND REGARDLESS OF THE FORM OF ACTION OR LEGAL THEORY WILL NOT EXCEED $100.00. REFERRERS SHOULD USE THE PROGRAM AT THEIR OWN RISK.
    By participating in the Program, you agree to defend, indemnify, release and hold harmless Denim, its parent companies, affiliates and subsidiaries, together with its respective employees, directors, officers, licensees, licensors, shareholders, attorneys and agents including, without limitation, (collectively, the “Released Parties”), from any and all claims, actions, demands, damages, losses, liabilities, costs or expenses caused by, arising out of, in connection with, or related to the Program (including, without limitation, any property loss, damage, personal injury or death caused to any person(s)) and/or the awarding, receipt and/or use or misuse of any benefit in the Program. To be clear, the Released Parties shall not be liable for any technical errors or malfunctions, data theft or corruption, any printing or typographical error, or any damage to any computer system resulting from participating in or accessing or downloading information in connection with the Program. The Released Parties shall not be liable to any users for failure to supply any advertised benefit, by reason of any acts of God, any action or request by any governmental or quasi-governmental entity (whether or not valid), or any other activity or action that is beyond any of the Released Parties’ control.
  7. Disclaimer of Warranties. YOU EXPRESSLY UNDERSTAND AND AGREE THAT: (A) THE PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND DENIM EXPRESSLY DISCLAIMS ALL WARRANTIES, CONDITIONS AND TERMS OF ANY KIND, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR CUSTOM, INCLUDING, BUT NOT LIMITED TO, WARRANTIES AS TO PRODUCTS OR SERVICES OFFERED THROUGH THE USE OF THE PROGRAM, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) THE RELEASED PARTIES MAKE AND GIVE NO WARRANTY THAT (i) THE PROGRAM WILL MEET YOUR REQUIREMENTS, (ii) THE PROGRAM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, AND (iii) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE PROGRAM WILL MEET YOUR EXPECTATIONS, AND (C) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PROGRAM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH MATERIAL.
  8. Prohibited Conduct, Generally. Referrers agree not to use the Program to violate applicable law, infringe the intellectual property rights of Denim or any third party, stalk, harass, or harm another individual. You may not collect or store personal data about Referrals, impersonate any person or otherwise misrepresent your identity, interfere with, disrupt, or violate the Terms and Conditions, or servers, or networks connected with the Program, disobey any requirements, procedures, policies, or regulations of such networks. It is prohibited to interfere with another Referrer’s use of the program, gain unauthorized use of the program, other accounts, computer systems or networks connected to the Program. You may not transmit any file that contains viruses, worms, or any other contaminating or destructive features. Any attempt to deliberately damage or undermine the legitimate operation of the Program may be in violation of criminal and civil laws. Denim reserves the right to seek remedies and damages, including attorney fees to the extent permitted by applicable criminal and civil law.
  9. March $1,000.00 VISA Gift Card Giveaway. No purchase is necessary to participate in the March $1,000.00 VISA* Gift Card Giveaway (“Giveaway”). By participating in the forgoing Denim Refer-a-Friend Program and its applicable Terms and Conditions, you also agree to participate in the Giveaway. All federal, state, local, and municipal laws and regulations apply. Void where prohibited.
    Eligible Referrers will automatically be granted one entry into the Giveaway drawing upon Denim receiving a valid factoring application and proof of revenue from each Qualified Referral that participates in Denim’s Refer-a-Friend Program during the Giveaway period of March 1 through March 29, 2024 at 11:59pm EST. Any Qualified Referrals that submit an application outside of the Giveaway period will be disqualified from the Giveaway drawing. On or about April 5, 2024, Denim will select the winner in a random drawing from among all eligible entries received and will then notify the winner of the Giveaway via email. In the event that the selected winner of the first drawing is disqualified for any reason, Denim will then award the Giveaway prize to an alternate winner by random drawing from among all remaining eligible entries. The Giveaway prize will be sent to the winner within fourteen (14) days of the winner being notified. The odds of winning depend on the number of eligible entries received.
    In the event that the operation, security, or administration of the Giveaway is impaired in any way for any reason, including but not limited to fraud, virus, bug, worm, unauthorized human intervention or other technical problem, or in the event that the giveaway is unable to run as planned for any other reason as determined by Denim, we may either (a) suspend in the Giveaway to address the impairment and then resume the Giveaway upon resolution of the issue or (b) terminate the Giveaway and in the event of termination, award the prize from a random drawing from among the eligible entries received up to the time of the impairment. Denim reserves the right to disqualify any entry that is found to be in violation of the Giveaway rules or Denim’s Refer-a-Friend Program Terms and Conditions.
